End User License Agreement and Terms of Service — Clover → Odoo
Last updated: November 2, 2026 · Version française
These terms govern the use of the Clover → Odoo application (the “App”) published by Marchand M.C INC., doing business as MC Paiement / Aura Paiements (“we”, “us”), 3 Place Ville Marie, Suite 400, Montréal, Québec, Canada. By installing the App from the Clover App Market or using it, the merchant (“you”) agrees to these terms.
1. The service
The App reads your sales data from Clover and writes accounting entries and, optionally, products, sales orders, invoices and payments into the Odoo instance you configure. The App does not modify any data in Clover. You remain responsible for your Odoo instance, its configuration (chart of accounts, journals, taxes) and for reviewing and posting the entries created by the App. Entries are created in draft unless you enable automatic posting.
2. Your obligations
You must provide valid Odoo credentials belonging to you and keep them current; grant the App only the Odoo rights needed; verify the first synchronizations with your accountant; and comply with the Clover Terms of Service and applicable tax and accounting laws. You are responsible for the accuracy of the data recorded in Clover (taxes, tenders, tips).
3. Fees
Fees, if any, are those shown on the App Market listing and are billed by Clover with your Clover account. We may change fees with 30 days' notice through the App Market.
4. Data and privacy
Our processing of your data is described in the Privacy Policy, which is part of these terms. You authorize us to read the Clover data listed there and to transmit it to your Odoo instance.
5. Availability and support
We aim for continuous availability but do not guarantee it; synchronization depends on the Clover and Odoo APIs. Missed periods are caught up automatically when the service resumes. Support is provided by e-mail at info@mcpaiement.com, in French and English, with a response within one business day.
6. Warranty and liability
The App is provided “as is”. To the extent permitted by law, we exclude all implied warranties and our total liability for any claim related to the App is limited to the fees you paid for the App in the 12 months preceding the claim. We are not liable for indirect losses, including tax penalties resulting from unreviewed entries, loss of profit or loss of data in Odoo or Clover. Nothing in these terms limits liability that cannot be limited under the laws of Québec.
7. Termination
You may stop using the App at any time by uninstalling it in Clover. We may suspend or terminate the App for breach of these terms, for security reasons, or if the App is withdrawn from the App Market, with reasonable notice where possible. Upon termination we delete your data as described in the Privacy Policy.
8. Intellectual property
The App and its documentation remain our property. You receive a non-exclusive, non-transferable right to use the App for your own business for the duration of your subscription. Clover and Odoo are trademarks of their respective owners; we are an independent publisher and are not affiliated with Odoo S.A.
9. Governing law
These terms are governed by the laws of Québec and the federal laws of Canada applicable therein. Any dispute is subject to the courts of the judicial district of Montréal. Both parties have requested that these terms be drawn up in English and French; in case of discrepancy, the French version prevails.
